Customer referral program terms and conditions
Eligibility
All active customers of Thoropass in good standing are eligible to participate in the Referral Program (subject to any restrictions placed upon them by their employer). Active customers are those who are under contract with Thoropass. Customers based in the United States are eligible for all reward options described in this program. Customers based outside the United States are eligible to participate but may only receive the rewards listed under the “Alternative Rewards” section.
Referral Process
The Referrer may refer to any third party whom they believe is a potential customer for Thoropass’s products and services and is anyone whom they have a pre-existing business relationship with. The Referrer must have gained consent to share contact details from the referee prior to submitting to Thoropass. Any such third party is a “lead.” A “lead” must be submitted to Thoropass in writing via the Referral Form with contact information, as well as any additional information the Referrer has in regard to the sales opportunity.
Who is not eligible to participate?
- Employees of Thoropass technical integration and strategic partners with existing referral programs, including their immediate family and household members;
- Thoropass employees within the Sales organization, including their immediate family and household members;
- Employees of an authorized Thoropass reseller, including their immediate family and household members;
- Business owners, operators, or decision-makers responsible for making purchasing decisions referring their own businesses;
- Individuals who are under 18 years old;
- Individuals located outside of the United States.
Geographical Limitation
The Referral Program is valid for referrals made worldwide. To be eligible for standard referral rewards, both the Referrer and the Lead being referred must be located within the United States throughout the duration of the referral process. Referrers located outside of the United States are eligible to participate but may only receive the Alternative Rewards as specified in the “Alternative Rewards” section. Thoropass reserves the right to determine, in its sole discretion, the validity of any referral based on geographic location.
Qualified Leads
Thoropass will then have ten (10) business days to determine whether the lead is an existing customer, prior customer, or existing customer prospect of Thoropass. If the lead is an existing or prior customer or existing customer prospect, then Thoropass will provide the Referrer with written notice of the same and the lead will not be considered a “Qualified Lead.”
Provided that the lead agrees to buy services within six (6) months after the written notice within which the lead was first identified, the lead shall be deemed a “Qualified Lead.”
Rewards
Thoropass will pay the Referrer based on purchases made by Qualified Leads from Thoropass as detailed in Exhibit A, which may be updated from time to time. Payments for the $500 referral fee will be made within 30 days of the Qualified Lead signing a contract with Thoropass. Referrers located outside of the United States are only eligible to receive the Alternative Rewards as specified below.
Minimum Contract Value Requirement
In addition to the criteria specified above, to qualify for any referral rewards, the new customer contract value must exceed $10,000 USD net (after all discounts have been applied). This minimum contract value is based on the first-year annual contract value of the services provided to the referred customer, calculated after applying any promotional discounts, including the $1,000 discount for referred customers specified in these terms. If the referred customer signs a contract with a net value less than $10,000 USD, the referrer will not be eligible to receive any referral rewards, including those listed under the “Alternative Rewards” section. Thoropass reserves the right to determine, in its sole discretion, how net contract value is calculated for the purposes of this program.
Alternative Rewards
Notwithstanding the “Rewards” section and Exhibit A, in the event that a Referrer is unable to accept the $500 digital Visa gift card referral reward (or $1000 Visa gift card if the referral was submitted during a limited time promotional offer) due to their employer’s internal policies, if the Referrer chooses not to accept the digital Visa gift card, or if the referrer is located outside of the United States, they may elect to receive one of the following per Qualified Lead that signs a contract with Thoropass:
- $1,000 off of their next Thoropass contract renewal, or
- $2,000 credit towards a future Thoropass additional framework or assessment.
The $2,000 credit towards a future Thoropass additional framework or assessment, provided that such credit shall not exceed fifty percent (50%) of the total cost of the selected service.
Referred Customer Discount
Upon completion of the product demonstration and placement of their first sales order with Thoropass, the referred customer will receive a $1,000 discount on that order. This discount is non-transferable.
Gift and Reward Acceptance Responsibility
By participating in this program, the Referrer agrees that they are solely responsible for determining their eligibility to receive and accept any or rewards offered through this program, in compliance with any applicable laws, regulations, or company policies that may govern the receipt of such rewards. By accepting this award, the referee acknowledges they are specifically not subject to any restrictions by their current employer to accept this reward as part of their duty or service to their current employer. Thoropass shall not be held liable for any issues or disputes arising from the Referrer’s acceptance or use of any reward.
W9 Reporting
If the total value of referral rewards or other awards paid to a Referrer in a calendar year exceeds the IRS gift and income limit of $600, Thoropass will issue a W9 form to the Referrer and report the payments to the IRS, as required by applicable tax laws and regulations. The Referrer is responsible for providing Thoropass with accurate tax identification information.
Tax implications
- The Referrer is solely responsible for any and all tax liabilities associated with the referral rewards or other awards.
- Thoropass is not responsible for withholding or reporting any taxes associated with the referral rewards. The Referrer is advised to consult with a tax professional regarding the tax implications of receiving referral rewards.
Promotional Reward Variations:
Thoropass reserves the right to conduct promotional campaigns where the value of the digital Visa gift card referral reward, as detailed in Exhibit A, is increased for a limited time. All other terms and conditions outlined herein shall remain applicable during such promotional periods. Thoropass retains the sole discretion to determine the duration of these promotions and may terminate them at any time without prior notice.
Termination
Thoropass reserves the right to modify, suspend, or terminate the Referral Program at any time and for any reason, with or without notice.
Data privacy
Thoropass will collect and use referral data in accordance with its Privacy Policy.
Exhibit A
If a referral Qualified Lead moves through Thoropass’s sales cycle to become a new customer within the timeframe defined, and the company of the Referrer is an active customer of Thoropass, the Referrer, as an individual, will receive a referral reward in the form of a $500 digital Visa gift card.
